DAVID D. SPENCER
David Spencer is fluent in Spanish. He received his M.A. (1979, International Relations) from the Universidad de las Américas, Puebla, Mexico. A former Legislative Assistant in the U.S. Senate with responsibility for international trade issues, he is a frequent speaker on doing business in Latin America and NAFTA. He maintains an extensive network of Latin American legal, business and tax advisors who are available to assist his clients promptly, accurately and cost-effectively.
Specifics of Latin America Practice
In his transactional experience involving Latin America, Mr. Spencer has counseled clients and documented transactions in the following areas:
Agency and distribution agreements.
Company acquisitions (mostly manufacturing facilities), either by stock or asset purchase. In addition to preparing documentation, this work has included obtaining government approvals and oversight of the purchaser’s due diligence review.

Real estate transactions, including foreign acquisition of real property rights in the restricted zones, either directly or through formation of a trust.
Joint venture structuring, including one of the first joint ventures proposed with ejido participation under Mexico’s new agrarian reform law.
